Service Illustration
AssistifAI is a cloud-based artificial intelligence service provider for customer support, sales, and user engagement (the "Service"). Anything the Customer (including Users) configures, customizes, uploads, or otherwise utilizes through the Service is considered a "User Submission." Customer is solely responsible for all User Submissions it contributes to the Service. The Service may include templates, scripts, documentation, and other materials that assist Customer in using the Service ("AssistifAI Content"). Customers will not receive or have access to the underlying code or software of the Service (collectively, the "Software") nor receive a copy of the Software itself.

Subscription
Under this Agreement, the Customer may subscribe to the Service and is granted the right to access and use it as outlined in ordering screens agreed upon by both parties via AssistifAI’s website or service portal. These ordering screens reference this Agreement and specify the subscription’s business terms (“Order(s)”). Each subscription remains active for the duration specified in the corresponding Order (“Subscription Period”). Access and usage of the Service are strictly limited to individuals authorized by the Customer and may only be used for the Customer’s internal business operations, excluding any benefit to third parties (“Users”).

AssistifAI's Ownership
AssistifAI retains full ownership of the Service, Software, AssistifAI Content, Documentation, and all other materials provided to the Customer (collectively, the “AssistifAI Materials”). AssistifAI holds all rights, title, and interest, including intellectual property rights, in the AssistifAI Materials, as well as any related underlying technology, updates, enhancements, modifications, or derivative works. No rights or licenses are granted to the Customer beyond those expressly stated in this Agreement, and all remaining rights are reserved by AssistifAI.

Permissions
The Service includes customizable settings that allow Users to grant permissions to others for various tasks within the platform (“Permissions”). The Customer is solely responsible for setting and managing all Permissions, including determining which Users can assign them. AssistifAI holds no responsibility for managing Permissions and assumes no liability for any Permissions configured by the Customer or its Users.

The Customer may extend access to its Affiliates, with all rights and obligations under this Agreement applying to them as well. The Customer guarantees full responsibility for any breaches by its Affiliates and affirms its authority to negotiate this Agreement on their behalf. Additionally, the Customer remains accountable for all payment obligations, whether arising from its own use of the Service or that of its Affiliates. Any claims made by an Affiliate against AssistifAI must be initiated by the Customer.

An “Affiliate” refers to any entity that directly or indirectly controls, is controlled by, or is under common control with a party, where “control” signifies ownership of more than fifty percent (50%) of voting shares or equity interests.

Fees and Payment
Users must pay applicable fees for the use of the Service as outlined in the subscription plan or purchasing agreement.

All fees are non-refundable unless expressly stated otherwise in a separate agreement or refund policy.

Payments must be made through approved methods specified by AssistifAI. Any failure to process payments may result in suspension or termination of the service.

Late payments may incur interest charges at a rate of five percent per month or the maximum amount permitted by law.

Subscription & Renewal
The Service is available on a subscription basis with terms outlined in the corresponding order ("Subscription Period"). Subscriptions will automatically renew unless canceled before the renewal date. Customers must manage their renewal settings to prevent unwanted charges. Price adjustments for future subscription periods may be made at the company's discretion, with prior notice provided.

Taxes
All fees are exclusive of taxes, duties, and levies. Customers are responsible for any applicable taxes associated with their purchase, including VAT, sales tax, or other governmental charges.

If AssistifAI is required to collect taxes on behalf of authorities, they will be added to the final invoice.

Refunds & Cancellations
Refund eligibility is subject to specific conditions, such as service malfunction or non-performance of promised features. No refunds are provided for early termination by the Customer unless explicitly agreed upon in writing. Customers may cancel their subscription at any time, but access to services will continue until the end of the current Subscription Period.

Financial Liability & Limitations
AssistifAI is not responsible for financial losses incurred due to AI-generated outputs, recommendations, or automation features. Users acknowledge that AI-driven insights should be independently verified before making financial or business decisions. The company's liability for any claims related to service fees or payments shall not exceed the amount paid by the Customer in the previous Subscription Period.

To use our services, you must be at least 18 years old and possess the legal capacity to enter into agreements. Organizations using our services must ensure that their representatives comply with these Terms.

Users may need to register an account, provide accurate information, and maintain account security. Unauthorized access or misuse of accounts may result in termination.

You agree not to misuse our AI services for illegal, unethical, or harmful activities. You shall not attempt to reverse-engineer, modify, or exploit the AI beyond its intended purpose. You are responsible for ensuring that AI-generated outputs comply with applicable laws.

All AI-generated content, unless specified otherwise, remains the intellectual property of AssistifAI. Users may utilize outputs within the permitted scope but cannot resell, redistribute, or claim ownership.

Our AI services provide recommendations but should not be considered absolute or error-free. We are not liable for any financial, operational, or legal outcomes resulting from AI-generated actions. The service is provided "as is," without warranties of any kind.

We reserve the right to modify these Terms at any time. Updates will be communicated through our platform, and continued use constitutes acceptance of the revised Terms.

We may suspend or terminate accounts for violations of these Terms, misuse of services, or legal compliance requirements.
